1. Scope and Parties
These General Terms and Conditions ("Terms") govern all consulting, interim management, and advisory services provided by Benjamin Verhage, operating as Verhage Consulting ("Consultant"), to clients ("Client"). These Terms apply to all engagements unless explicitly superseded by a written agreement signed by both parties.
2. Services
The Consultant provides management consulting, interim management, digital transformation advisory, supply chain management consulting, ERP implementation oversight, and related professional services. The specific scope of each engagement is defined in a separate Statement of Work (SOW) or engagement letter.
3. Engagement and Contractual Relationship
Each engagement is formalised through a written offer (Angebot) accepted by the Client, or through a separate engagement letter or SOW. The Consultant operates as an independent contractor (selbständiger Auftragnehmer) and is not an employee of the Client. No employment relationship (Arbeitsverhältnis) is created by any engagement.
4. Fees and Payment
Fees are agreed on a per-engagement basis, either as a daily rate (Tagessatz), fixed project fee, or retainer. Invoices are due within agreed terms of receipt. In case of late payment, statutory interest pursuant to §288 BGB applies. All fees are exclusive of applicable VAT (Umsatzsteuer) unless stated otherwise.
5. Confidentiality
The Consultant treats all Client information as strictly confidential and will not disclose it to third parties without the Client's written consent. This obligation survives termination of the engagement for a period of 3 years. The Client acknowledges that the Consultant may reference the engagement (without disclosing confidential details) for the purpose of describing professional experience.
6. Intellectual Property
Deliverables created specifically for the Client under a paid engagement become the property of the Client upon full payment. Methodologies, frameworks, tools, and know-how developed independently by the Consultant remain the Consultant's intellectual property. The Client is granted a non-exclusive licence to use such background IP to the extent necessary for the agreed purpose.
7. Limitation of Liability
The Consultant's liability is limited to cases of intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). Liability for simple negligence is excluded to the maximum extent permitted by German law. The Consultant's total liability for any engagement shall not exceed the total fees paid for that engagement in the three months preceding the event giving rise to the claim.
8. Termination
Either party may terminate an engagement by giving 4 weeks written notice, unless a different notice period is agreed in the SOW. The Client shall pay for all work performed up to the termination date. Termination for cause (außerordentliche Kündigung) remains possible for both parties in cases of material breach.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is the registered place of business of the Consultant, to the extent permitted by law.
10. Severability
Should any provision of these Terms be or become invalid or unenforceable, the remaining provisions shall remain in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial intent.
11. Changes to These Terms
The Consultant reserves the right to amend these Terms. The current version applicable to an engagement is the version in force at the time the engagement is entered into.

1. Scope and Parties
These General Terms and Conditions ("Terms") govern all consulting, interim management, and advisory services provided by Benjamin Verhage, operating as Verhage Consulting ("Consultant"), to clients ("Client"). These Terms apply to all engagements unless explicitly superseded by a written agreement signed by both parties.
2. Services
The Consultant provides management consulting, interim management, digital transformation advisory, supply chain management consulting, ERP implementation oversight, and related professional services. The specific scope of each engagement is defined in a separate Statement of Work (SOW) or engagement letter.
3. Engagement and Contractual Relationship
Each engagement is formalised through a written offer (Angebot) accepted by the Client, or through a separate engagement letter or SOW. The Consultant operates as an independent contractor (selbständiger Auftragnehmer) and is not an employee of the Client. No employment relationship (Arbeitsverhältnis) is created by any engagement.
4. Fees and Payment
Fees are agreed on a per-engagement basis, either as a daily rate (Tagessatz), fixed project fee, or retainer. Invoices are due within agreed terms of receipt. In case of late payment, statutory interest pursuant to §288 BGB applies. All fees are exclusive of applicable VAT (Umsatzsteuer) unless stated otherwise.
5. Confidentiality
The Consultant treats all Client information as strictly confidential and will not disclose it to third parties without the Client's written consent. This obligation survives termination of the engagement for a period of 3 years. The Client acknowledges that the Consultant may reference the engagement (without disclosing confidential details) for the purpose of describing professional experience.
6. Intellectual Property
Deliverables created specifically for the Client under a paid engagement become the property of the Client upon full payment. Methodologies, frameworks, tools, and know-how developed independently by the Consultant remain the Consultant's intellectual property. The Client is granted a non-exclusive licence to use such background IP to the extent necessary for the agreed purpose.
7. Limitation of Liability
The Consultant's liability is limited to cases of intent (Vorsatz) and gross negligence (grobe Fahrlässigkeit). Liability for simple negligence is excluded to the maximum extent permitted by German law. The Consultant's total liability for any engagement shall not exceed the total fees paid for that engagement in the three months preceding the event giving rise to the claim.
8. Termination
Either party may terminate an engagement by giving 4 weeks written notice, unless a different notice period is agreed in the SOW. The Client shall pay for all work performed up to the termination date. Termination for cause (außerordentliche Kündigung) remains possible for both parties in cases of material breach.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is the registered place of business of the Consultant, to the extent permitted by law.
10. Severability
Should any provision of these Terms be or become invalid or unenforceable, the remaining provisions shall remain in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the original commercial intent.
11. Changes to These Terms
The Consultant reserves the right to amend these Terms. The current version applicable to an engagement is the version in force at the time the engagement is entered into.
